Acceptance of Terms

By accessing and using the services provided by Dori Morrison, CVA ("we," "us," or "our"), you accept and agree to be bound by the terms and conditions of this agreement.

Services Provided

Dori Morrison, CVA provides professional business valuation services including:

• Business valuation and appraisal services
• Merger and acquisition valuation support
• Manufacturing business valuations
• Consultation and advisory services
• Expert witness services

Business Valuation Calculator - Disclaimer and Limitations

The free online calculator provides preliminary estimates only based on simplified industry multiples. It does NOT:

• Constitute a professional valuation opinion or conclusion of value
• Create a professional engagement or client relationship
• Meet NACVA, USPAP, or any professional valuation standards
• Provide reliable information for legal, tax, or transaction purposes

Users acknowledge that calculator results are educational estimates only and agree not to rely on them for any business decisions. Professional valuations require comprehensive analysis not provided by this tool.

Professional Standards

All valuation services are performed in accordance with:

• National Association of Certified Valuators and Analysts (NACVA) standards
• Uniform Standards of Professional Appraisal Practice (USPAP) when applicable
• Generally Accepted Accounting Principles (GAAP) when applicable
• Professional ethical standards and codes of conduct

Choice of Law for Professional Services

Notwithstanding the above, professional valuation services are performed according to applicable professional standards (NACVA, USPAP) regardless of state law.

Engagement Terms

All professional services are provided under the terms of a signed engagement letter that will specify:

• Scope of work and deliverables
• Fee structure and payment terms
• Timeline and completion dates
• Assumptions and limiting conditions
• Confidentiality provisions

Confidentiality

We maintain strict confidentiality regarding all client information and business data shared during the valuation process. All information is used solely for the purpose of providing professional valuation services and is not disclosed to third parties without client consent, except as required by law or professional standards.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• For professional engagements: liability is limited to fees paid for the specific engagement
• For calculator/website use: we assume NO LIABILITY whatsoever
• In no event shall we be liable for indirect, incidental, consequential, special, or punitive damages
• Total liability shall never exceed amount paid for services (or $100 if no services purchased)

Indemnification

Users agree to indemnify, defend, and hold harmless Doris Morrison, DorisMorris firm, its owners, employees, and agents from any claims, damages, or expenses arising from:

• Misuse of calculator estimates
• Violation of these terms
• Use of information for unauthorized purposes

Intellectual Property

All valuation reports, methodologies, and work product remain the intellectual property of Dori Morrison, CVA, subject to the client's right to use the final valuation report for its intended purpose as specified in the engagement letter.

Payment Terms

Payment terms will be specified in the engagement letter. Generally:

• A retainer may be required before work begins
• Invoices are due within 30 days of receipt
• Interest may be charged on overdue accounts
• Work may be suspended for non-payment

Independence and Objectivity

We maintain independence and objectivity in all valuation engagements. We do not accept engagements where conflicts of interest exist that could compromise our professional judgment or the reliability of our valuation conclusions.

Website Use

Use of this website is subject to the following conditions:

• You may not use the site for any unlawful purpose
• You may not attempt to gain unauthorized access to any systems
• You may not interfere with the proper functioning of the website
• Content is for informational purposes only and does not constitute professional advice
• Calculator results may not be reproduced, distributed, or represented as professional valuations

THE WEBSITE, CALCULATOR, AND ALL INFORMATION PROVIDED ARE OFFERED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. CALCULATOR RESULTS ARE ESTIMATES ONLY AND WE MAKE NO WARRANTY REGARDING THEIR ACCURACY OR SUITABILITY FOR ANY PURPOSE.

Governing Law and Dispute Resolution

These Terms are governed by Delaware law, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under AAA rules in Wilmington, Delaware, or if arbitration is unavailable, in Delaware state courts located in New Castle County. Each party waives jury trial rights.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, labor disputes, equipment failure, internet disruption, or governmental actions.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, severed from these Terms. All other provisions shall continue in full force and effect.

Entire Agreement

These Terms of Service, together with any executed engagement letter for professional services, constitute the entire agreement between you and Doris Morrison/DorisMorris regarding the subject matter herein and supersede all prior or contemporaneous communications, whether oral or written.

Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the modified terms.
